These Terms of Use ("Terms") govern your access to and use of the platform, interfaces, and technology features (collectively, the "Features") made available by Left or Right ("we," "us," or "our"). These Terms constitute a legally binding agreement between you ("you," "your," or "User") and us. Please read these Terms carefully before using any Features.

By accessing or using our website, interfaces, smart contract protocol, or any associated tools (collectively, the "Platform"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Platform.

1. Overview of the Platform

Left or Right is a decentralized, binary choice prediction platform deployed on BNB Chain. Users may connect their self-hosted wallets to place predictions on event outcomes, such as elections, sports, or current events. We provide the user interface and smart contract infrastructure but do not operate a centralized trading platform or hold custody of any assets.

2. Restricted Jurisdictions

Accessing or using the Platform for trading is strictly prohibited for persons or entities located in, incorporated in, or residing in the following jurisdictions (collectively, "Restricted Jurisdictions"):

• United States of America
• United Kingdom
• France
• Ontario (Canada)
• Singapore
• Poland
• Thailand
• Belgium
• Taiwan
• Any jurisdiction subject to comprehensive sanctions (e.g., North Korea, Iran, Cuba, Syria, Crimea, Donetsk, Luhansk)

Any user from these jurisdictions is considered a "Restricted Person." Use of VPNs or anonymization techniques to circumvent these restrictions is strictly prohibited and may result in immediate suspension or termination of access.

3. Wallets and Transactions

• Users must connect a self-custodial wallet to access the Platform.
• We do not hold, access, or recover private keys or assets.
• All transactions are irreversible, and Users bear full responsibility for any loss, failed transactions, or operational errors.
• Users acknowledge all smart contract and blockchain interaction risks, including loss of funds, front-end exploits, oracle inaccuracies, and contract vulnerabilities.

4. Eligibility and Representations

By using the Platform, you represent and warrant that:

• You are at least 18 years old and have legal authority to enter into these Terms.
• You are not a Restricted Person and are not accessing the Platform on behalf of any Restricted Person.
• You understand blockchain technology and the risks associated with cryptoassets.
• Your use complies with all applicable laws and does not contribute to any illegal activity.
• You will not use VPNs or similar tools to misrepresent your location.

5. Market Resolution and Oracle

• All predictions are resolved based on pre-defined oracle inputs.
• Left or Right may use third-party oracles (e.g., UMA Optimistic Oracle) to determine outcomes.
• We are not responsible for resolution disputes; these are handled per oracle protocol governance.

6. Prohibited Conduct

You agree not to:

• Violate applicable laws or regulations
• Engage in market manipulation (e.g., spoofing, wash trading)
• Circumvent geoblocking or platform restrictions
• Introduce malicious code
• Access the Platform in a fraudulent or abusive manner

7. No Investment Advice

The Platform provides access to decentralized contracts and interfaces. All information is for informational purposes only and does not constitute investment, legal, or tax advice. Users should consult with appropriate professionals before making decisions involving cryptoassets.

8. Modifications

We may update these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use constitutes acceptance of revised Terms.

9. Intellectual Property

We own all intellectual property rights in the Platform and Features unless otherwise stated. You may not copy, distribute, or exploit our content without permission.

10. Third Party Services

The Platform may integrate with third-party services. We are not responsible for any external services, their content, or any loss arising from your interaction with them.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses arising from your use of the Platform, your breach of these Terms, or your violation of any rights of third parties.

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of funds, data, or reputation. In no event shall our liability exceed $100 USD.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of Panama. All disputes shall be resolved through arbitration in Panama under Panamanian Arbitration Law. You waive any right to trial by jury or to participate in a class action.
